1. Contract Formation

A contract is formed when Bloom'n Events Co accepts your order or begins providing services. These Terms and Conditions form part of that contract and apply to all goods and services provided.

2. Payment Terms

Unless otherwise agreed in writing:

• Payment is due within 30 days of the invoice date
• Interest at 1.5% per month applies to overdue amounts
• We reserve the right to suspend services for overdue accounts

3. Delivery and Risk

• Delivery dates are estimates only and not guaranteed
• Risk in goods passes to the Client upon delivery or collection
• We will not be liable for delays beyond our reasonable control

4. Limitation of Liability

Our liability is limited to:

• The replacement or repair of defective goods or services
• The amount paid for the goods or services in question
• We exclude liability for consequential or indirect loss

5. Default Events

If a Default Event occurs, Bloom'n Events Co may:

• Reclaim any goods or materials as applicable; or
• Demand immediate payment of all outstanding moneys and pursue recovery

6. Default Events Include

• Insolvency or bankruptcy
• Breach of any term of the Contract
• Initiation of wind-up or voluntary administration
• Dishonoured payments
• Cessation of business
• Any other event that Bloom'n Events Co reasonably considers to be a Default Event

7. Consequences of Default

If a Default Event occurs:

• All outstanding amounts become immediately payable
• Credit or service provision may be suspended or terminated
• Bloom'n Events Co may take possession of any goods or materials supplied
• A flat fee of $2,000 may be charged to the Client's account to cover collection and legal recovery efforts
• Legal costs incurred by Bloom'n Events Co in relation to the Default Event

8. Trust Obligations

If the Client operates under a trust, they confirm:

• The trust is validly established and in good standing
• The Client has the authority to enter into these terms on behalf of the trust
• The trust's assets are available to meet any obligations under this agreement
• These terms apply to the trust

9. Costs and Indemnity

All costs incurred by Bloom'n Events Co in enforcing its rights—including legal or collection costs—will be payable by the Client. The Client also indemnifies Bloom'n Events Co against any misuse of account or credit by third parties with the Client's consent.

10. General

These Terms and Conditions apply to all transactions between the Client and Bloom'n Events Co and/or Bloom'n Creative Design Co. They supersede any previous agreements or understandings.

Failure to enforce any part of these terms does not waive Bloom'n Events Co's rights.

• A certificate from Bloom'n Events Co confirming the amount owed will serve as proof unless the Client can show otherwise
• These terms are governed by the laws of Western Australia

11. Other Terms

• These terms prevail over other inconsistent agreements unless varied in writing
• Any invalid clauses do not affect the rest of the agreement
• A signed statement by Bloom'n Events Co regarding amounts owing is prima facie evidence
• These terms are governed by the laws of Western Australia

The Client agrees to submit to the jurisdiction of the courts of Western Australia.
